1. Introduction & Acceptance

Welcome to DUTO. These Terms of Service ("Terms") govern your access to and use of the DUTO platform, including our website, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

DUTO is an AI-powered content creation platform that provides tools for creating visual workflows, storyboards, and multimedia content.

The Service operates on a credit-based system where users purchase or earn credits to use various AI generation features.

  • Flow Editor - Visual workflow builder for creating AI-powered content pipelines
  • Storyboard - AI video planning and storyboard generation tools
  • Content Library - Asset management and storage
  • Movie Editor - Video composition and editing capabilities

3. User Accounts

To access certain features of the Service, you must create an account. You agree to provide accurate information, maintain account security, promptly update account information, and accept responsibility for all activities under your account.

You must be at least 13 years old to use the Service. Users under 18 must have parental or guardian consent. Certain content generation features may require users to be 18 or older.

4. Subscriptions and Credits

DUTO uses a credit-based system for AI generation features. Credits may be purchased directly, included as part of subscription plans, or earned through promotional offers.

All purchases are final. Refunds may be issued at our sole discretion and only in cases of technical failure where the Service did not perform as expected. Unused credits may expire as specified in your subscription terms.

5. User Content and Inputs

You retain ownership of all content, prompts, images, and other materials you provide to the Service ("User Content"). By submitting User Content, you grant DUTO a worldwide, non-exclusive, royalty-free license to use, process, and store your User Content solely for the purpose of providing and improving the Service.

You are solely responsible for your User Content and represent that you have all necessary rights to submit such content and grant the licenses described herein.

6. AI-Generated Content (Outputs)

Subject to your compliance with these Terms, you own the outputs generated by the Service based on your User Content ("Outputs"). You may use Outputs for commercial and non-commercial purposes, subject to the following limitations.

  • Outputs are generated by AI models and may not be unique
  • Similar or identical Outputs may be generated for other users
  • You are responsible for ensuring your use of Outputs complies with applicable laws
  • DUTO does not guarantee the accuracy, quality, or fitness of Outputs for any purpose
  • Content created during your active subscription retains its commercial license after subscription cancellation or account termination, provided no breach of these Terms occurred at the time of creation

7. Intellectual Property

The Service, including its design, features, code, and documentation, is owned by DUTO and protected by intellectual property laws. These Terms do not grant you any rights to use DUTO trademarks, logos, or branding.

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of the Service.

8. Prohibited Uses

You agree not to use the Service to:

  • Generate illegal, harmful, threatening, abusive, or harassing content
  • Create content that promotes violence, discrimination, or hatred
  • Generate deceptive content, including deepfakes of real individuals without consent
  • Infringe on intellectual property rights of others
  • Generate child sexual abuse material or content sexualizing minors
  • Engage in fraud, impersonation, or deceptive practices
  • Attempt to circumvent security measures or abuse the Service
  • Use automated systems to access the Service without authorization
  • Resell, redistribute, or sublicense access to the Service
  • Misuse biometric data or use facial recognition on individuals without explicit, informed consent
  • Generate, distribute, or use non-consensual intimate imagery

9. Third-Party Services

The Service integrates with third-party AI model providers and services, including OpenRouter, WaveSpeed, Kie.ai, Tavily, and Supabase. Your use of the Service is also subject to the terms and policies of these third-party providers.

WaveSpeed is our primary AI video and image generation provider. When you use the Service to generate content, your inputs are transmitted to WaveSpeed for processing. WaveSpeed may use such inputs to develop, improve, and train derivative AI models in accordance with its own Terms of Service.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. AI-generated content may contain errors, inaccuracies, or inappropriate material. You are solely responsible for reviewing and verifying all Outputs before use.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DUTO SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for claims arising from or related to these Terms or the Service shall not exceed the amount you paid to DUTO in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless DUTO and its officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses arising from your use of the Service, your User Content, your Outputs, or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Delaware.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Effective Date" above. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
